TriPrepNex – Terms & Conditions

1.3 “User”
“User”, “you”, or “your” means any individual, visitor, subscriber, student, parent, guardian,
educator, or any other person who accesses, browses, registers for, or uses the Platform.
1.4 “Account”
“Account” means a registered user profile created to access certain features, subscriptions,
or services offered through the Platform.
1.5 “Subscription”
“Subscription” means a paid or complimentary plan that grants a User access to specific
educational content, practice materials, features, or services for a defined period, subject to
these Terms.
1.6 “Content”
“Content” includes, without limitation, study notes, chapter summaries, practice questions,
mock tests, quizzes, explanations, solutions, videos, graphics, illustrations, text, audio,
software, logos, trademarks, user interfaces, downloadable materials, and any other
information or educational resources available on the Platform.
1.7 “Educational Content”
“Educational Content” means all learning materials made available through the Platform,
including but not limited to notes, question banks, practice tests, explanations, revision
materials, mock examinations, and study resources prepared or compiled by TriPrepNex.
1.8 “Services”
“Services” means all educational and related services provided by TriPrepNex through the
Platform, whether free or paid, including online learning resources, practice tests, progress
tracking, updates, and customer support.
1.9 “User Data”
“User Data” means any information provided by or collected from a User while using the
Platform, including registration details, contact information, usage information, payment
related details, learning progress, feedback, and other data processed in accordance with
the Privacy Policy.
1.10 “Intellectual Property”
“Intellectual Property” includes all copyrights, trademarks, service marks, trade names,
logos, designs, software, databases, educational materials, graphics, written content,
compilations, trade secrets, and other proprietary rights owned by or licensed to TriPrepNex.
1.11 “Applicable Laws”
“Applicable Laws” means all laws, statutes, regulations, rules, notifications, governmental
guidelines, judicial decisions, and other legal requirements applicable within the Republic of
India.
1.12 “Third-Party Services”
“Third-Party Services” means any websites, applications, payment gateways, hosting
providers, communication services, analytics providers, or external services that may be
integrated with or accessible through the Platform but are operated independently of
TriPrepNex.
1.13 “Business Day”
“Business Day” means any day other than a Saturday, Sunday, or public holiday on which
banks are generally open for business in India.
1.14 Interpretation
Unless the context otherwise requires:
a. Words importing the singular include the plural and vice versa.
b. References to one gender include all genders.
c. Headings are included for convenience only and shall not affect the interpretation of these
Terms.
d. References to any law include any amendment, modification, replacement, or re
enactment of that law.
e. The words “including”, “includes”, and “such as” shall be deemed to mean “including
without limitation.”
f. Any ambiguity in these Terms shall be interpreted in a manner consistent with their
purpose of governing the use of the Platform.
These definitions apply throughout these Terms & Conditions unless expressly stated
otherwise.

2. Acceptance of Terms
   2.1 Agreement to the Terms
   These Terms & Conditions (“Terms”) constitute a legally binding agreement between you
   (“User”, “you”, or “your”) and TriPrepNex (“TriPrepNex”, “we”, “our”, or “us”) governing
   your access to and use of the Platform and all related services.
   By accessing, browsing, registering for, subscribing to, or otherwise using the Platform, you
   acknowledge that you have read, understood, and agree to be legally bound by these Terms,
   our Privacy Policy, and any other policies or guidelines that may be published by TriPrepNex
   from time to time.
   If you do not agree with any provision of these Terms, you must immediately discontinue
   use of the Platform and refrain from accessing any of its content or services.
   2.2 Binding Effect
   Your continued access to or use of the Platform constitutes your ongoing acceptance of
   these Terms, including any amendments or updates made by TriPrepNex. These Terms apply
   to all users of the Platform, including visitors, registered users, subscribers, students,
   parents, guardians, educators, and any other individuals accessing or using the Platform.
   2.3 Eligibility to Accept
   By accepting these Terms, you represent and warrant that:
   a. You are legally competent to enter into a binding agreement under the applicable laws of
   India.
   b. The information you provide to TriPrepNex is accurate, complete, and up to date.
   c. Your use of the Platform does not violate any applicable law, regulation, contractual
   obligation, or third-party right.
   If you are under 18 years of age, you may use the Platform only with the consent and
   supervision of your parent or legal guardian. By permitting a minor to use the Platform, the
   parent or legal guardian agrees to these Terms on behalf of the minor and accepts
   responsibility for the minor’s use of the Platform.
   2.4 Additional Terms
   Certain services, features, promotions, or offerings available through the Platform may be
   subject to additional terms, conditions, or guidelines. Such additional terms shall form part
   of these Terms and shall be binding upon the User to the extent applicable.
   In the event of any inconsistency between these Terms and any additional terms applicable
   to a specific service, the additional terms shall prevail only with respect to that specific
   service.
   2.5 Electronic Acceptance
   You acknowledge and agree that your acceptance of these Terms through electronic means,
   including by creating an account, purchasing a subscription, clicking an “I Agree” button, or
   continuing to use the Platform after these Terms are made available, shall have the same
   legal force and effect as a written agreement signed by you.
   2.6 Changes to the Terms
   TriPrepNex reserves the right to modify, amend, update, or replace these Terms at any time
   at its sole discretion to reflect changes in applicable laws, business practices, technology, or
   Platform functionality.
   Where required by applicable law, we will provide reasonable notice of material changes.
   The updated Terms shall become effective on the date specified in the revised version. Your
   continued use of the Platform after the effective date of the updated Terms constitutes your
   acceptance of the revised Terms.
   If you do not agree with any revised Terms, you must discontinue using the Platform before
   the revised Terms take effect.
   2.7 Entire Agreement
   These Terms, together with the Privacy Policy, Disclaimer, Refund Policy, and any other
   policies expressly incorporated by reference, constitute the entire agreement between you
   and TriPrepNex concerning your use of the Platform and supersede all prior understandings,
   communications, or agreements relating to the same subject matter.
3. Eligibility
   3.1 General Eligibility
   Access to and use of the TriPrepNex Platform is available only to individuals who are legally
   capable of entering into a binding contract under the applicable laws of the Republic of India
   or their applicable jurisdiction.
   By accessing or using the Platform, you represent and warrant that you satisfy the eligibility
   requirements set out in these Terms.
   3.2 Minimum Age Requirement
   Users who are 18 years of age or older may create an account, purchase subscriptions, and
   use the Platform independently.
   Users who are below 18 years of age may access or use the Platform only with the
   knowledge, consent, and supervision of a parent or legal guardian.
   The parent or legal guardian shall be responsible for:

• Granting permission for the minor to use the Platform.
• Supervising the minor’s use of the Platform.
• Ensuring compliance with these Terms.
• Making subscription purchases on behalf of the minor where applicable.
• Accepting full responsibility for all activities carried out through the minor’s account.
  3.3 Accuracy of Information
  You agree that all information provided during registration, subscription, or while using the
  Platform shall be true, accurate, complete, and current.
  You agree to promptly update your information whenever necessary to ensure its continued
  accuracy.
  TriPrepNex reserves the right to suspend or terminate any account where information is
  found to be false, misleading, incomplete, fraudulent, or incapable of verification.
  3.4 Compliance with Applicable Laws
  You agree to access and use the Platform only in accordance with all applicable laws, rules,
  regulations, and governmental requirements.
  You shall not use the Platform for any unlawful, fraudulent, abusive, or unauthorized
  purpose.
  3.5 Restricted Users
  Without limiting any other rights available to TriPrepNex, the Platform may not be used by
  any person who:
  a. Has previously been suspended or permanently removed from the Platform.
  b. Has violated these Terms or any other policy published by TriPrepNex.
  c. Attempts to gain unauthorized access to the Platform or its systems.
  d. Uses the Platform in a manner that may interfere with its operation, security, or integrity.
  e. Uses automated tools, bots, scripts, crawlers, scraping software, or similar technologies
  without prior written authorization from TriPrepNex.
  3.6 Educational Purpose
  The Platform is intended solely for lawful educational, learning, revision, and self
  assessment purposes.
  Eligibility to use the Platform does not imply admission to any educational institution,
  eligibility for any examination, or qualification for any professional or academic certification.
  3.7 Right to Verify Eligibility
  TriPrepNex reserves the right, at its sole discretion, to request additional information or
  documentation to verify a User’s identity, age, eligibility, or compliance with these Terms.
  Failure or refusal to provide requested information may result in the suspension, restriction,
  or termination of access to the Platform.
  3.8 Right to Refuse or Restrict Access
  TriPrepNex reserves the right to refuse registration, deny access, suspend, or terminate any
  account at its sole discretion if it reasonably believes that:
• the User does not meet the eligibility requirements;
• the User has violated these Terms or applicable laws;
• the User has engaged in fraudulent, abusive, or unauthorized activities; or
• continued access may expose TriPrepNex, its users, or third parties to legal, security,
  operational, or reputational risks.
  Such action may be taken without prior notice where permitted by applicable law.

2. User Accounts
   4.1 Account Registration
   Certain features of the Platform, including access to subscription-based educational content
   and services, require the creation of a registered User Account.
   To create an Account, you may be required to provide accurate, complete, and current
   information, including but not limited to your name, email address, mobile number,
   password, and any other information reasonably requested by TriPrepNex.
   You agree that all information submitted during registration shall be truthful and accurate.
   You shall promptly update your Account information to ensure it remains current and
   complete.
   4.2 One Account Per User
   Unless expressly authorized in writing by TriPrepNex, each User may maintain only one
   personal Account.
   Creating multiple Accounts to obtain unauthorized benefits, evade restrictions, manipulate
   promotions, or otherwise misuse the Platform is strictly prohibited.
   TriPrepNex reserves the right to merge, suspend, or permanently terminate duplicate or
   fraudulent Accounts at its sole discretion.
   4.3 Account Security
   You are solely responsible for maintaining the confidentiality of your login credentials,
   including your username, password, and any verification codes used to access your Account.
   You agree to:

• Keep your login credentials secure and confidential.
• Use a strong and unique password.
• Prevent unauthorized access to your Account.
• Log out of your Account when using shared or public devices.
• Immediately notify TriPrepNex if you become aware of any unauthorized access,
  suspected security breach, or misuse of your Account.
  TriPrepNex shall not be liable for any loss, damage, or unauthorized activity resulting from
  your failure to maintain the security of your Account credentials.
  4.4 Personal Use Only
  Your Account is personal to you and may not be sold, transferred, assigned, shared, rented,
  sublicensed, or otherwise made available to any other person without the prior written
  consent of TriPrepNex.
  Account sharing, including sharing login credentials with friends, classmates, coaching
  institutes, organizations, or any third party, is strictly prohibited.
  TriPrepNex reserves the right to suspend or terminate any Account found to be involved in
  unauthorized sharing or commercial use.
  4.5 Verification
  TriPrepNex may, at its sole discretion, require Users to verify their identity, contact details, or
  ownership of an Account through email verification, mobile verification, identity
  documentation, or any other reasonable verification process.
  Failure to complete such verification may result in restricted access, temporary suspension,
  or permanent termination of the Account.
  4.6 Responsibility for Account Activities
  You are solely responsible for all activities conducted through your Account, whether or not
  such activities were authorized by you.
  Any purchases, subscriptions, communications, practice tests, downloads, or other actions
  performed using your Account shall be deemed to have been performed by you unless
  otherwise determined by applicable law.
  4.7 Unauthorized Use
  If you suspect that your Account has been compromised or accessed without authorization,
  you must immediately:
• Change your password.
• Notify TriPrepNex through the designated support channels.
• Cooperate with any reasonable investigation undertaken by TriPrepNex.
  TriPrepNex may temporarily suspend access to your Account where it reasonably believes
  that doing so is necessary to protect the security of the Platform, other Users, or your
  Account.
  4.8 Suspension and Termination of Accounts
  TriPrepNex reserves the right, at its sole discretion and subject to applicable law, to suspend,
  restrict, deactivate, or permanently terminate any User Account if the User:
  a. Violates these Terms or any other Platform policy.
  b. Provides false, inaccurate, misleading, or fraudulent information.
  c. Engages in unauthorized access, hacking, scraping, reverse engineering, or other activities
  that compromise the security or integrity of the Platform.
  d. Shares, distributes, resells, reproduces, or commercially exploits Platform content without
  authorization.
  e. Uses the Platform for unlawful, abusive, fraudulent, or harmful purposes.
  f. Interferes with the normal operation of the Platform or the experience of other Users.
  Where reasonably practicable, TriPrepNex may provide notice before suspension or
  termination. However, immediate action may be taken without prior notice where necessary
  to protect the Platform, comply with legal obligations, or prevent fraud or security risks.
  4.9 Account Closure by User
  You may request the closure of your Account at any time by contacting TriPrepNex through
  the official support channels.
  Closure of your Account shall not automatically entitle you to any refund of subscription fees
  unless expressly provided under the applicable Refund Policy.
  TriPrepNex may retain certain information after account closure where required by
  applicable law, for legitimate business purposes, fraud prevention, dispute resolution,
  enforcement of these Terms, or compliance with legal obligations, in accordance with the
  Privacy Policy.
  4.10 Survival
  Termination, suspension, or closure of an Account shall not affect any rights, obligations,
  liabilities, or remedies that accrued prior to such termination, including obligations relating
  to payments, intellectual property, confidentiality, dispute resolution, indemnification, and
  limitation of liability, all of which shall survive the termination of these Terms where
  applicable.

2. Subscription Plans
   5.1 Subscription-Based Services
   TriPrepNex provides access to certain educational content, features, and services through
   paid subscription plans. Access to subscription-only content is granted solely to Users who
   purchase a valid subscription through the Platform or an authorized payment channel.
   Subscription benefits may vary depending on the plan selected and shall be limited to the
   features expressly described at the time of purchase.
   5.2 Subscription Period
   Unless otherwise stated, each subscription is valid only for the period specified at the time
   of purchase.
   Access to subscription content shall automatically expire upon the end of the applicable
   subscription period unless renewed in accordance with these Terms.
   5.3 Access Rights
   Upon successful payment and activation of a subscription, the User is granted a limited, non
   exclusive, non-transferable, non-sublicensable, and revocable license to access and use the
   subscribed educational content solely for the User’s personal, non-commercial educational
   purposes.
   A subscription grants only the right to access the Platform and does not transfer ownership
   of any content, software, intellectual property, or other materials available through
   TriPrepNex.
   5.4 Changes to Subscription Plans
   TriPrepNex reserves the right to introduce, modify, discontinue, replace, or update any
   subscription plan, pricing structure, features, content, or benefits at any time.
   Such changes shall not ordinarily affect the remaining validity period of an active
   subscription already purchased, except where necessary to comply with applicable law,
   address security concerns, or discontinue services beyond TriPrepNex’s reasonable control.
   5.5 Availability of Content
   Educational content available under a subscription may be updated, revised, reorganized,
   expanded, corrected, or removed periodically to improve educational quality, maintain
   accuracy, comply with legal requirements, or enhance the User experience.
   TriPrepNex does not guarantee that any specific chapter, question bank, note, practice test,
   feature, or resource will remain permanently available throughout the subscription period.
   5.6 Personal Educational Use Only
   Subscriptions are intended solely for the individual User who purchased the subscription.
   Users shall not:

• Share subscription access with any other person.
• Allow simultaneous access by multiple users.
• Resell, sublicense, rent, lease, assign, or commercially exploit their subscription.
• Use subscription content for coaching classes, institutions, commercial training, or
  any business purpose without prior written authorization from TriPrepNex.
  Violation of this provision may result in immediate suspension or termination of the
  subscription without refund.
  5.7 No Transfer of Subscription
  Subscriptions are personal to the purchasing User and may not be transferred, assigned,
  gifted, exchanged, inherited, or sold to another individual unless expressly permitted by
  TriPrepNex in writing.
  5.8 Promotional Offers
  From time to time, TriPrepNex may offer promotional pricing, discounts, coupons, referral
  benefits, scholarship offers, or other promotional campaigns.
  Unless expressly stated otherwise:
• Promotional offers are valid only for the specified period.
• Promotional offers cannot be combined with other offers.
• Promotional offers have no cash value.
• TriPrepNex reserves the right to modify, suspend, or withdraw any promotional offer
  at any time, subject to applicable law.
  5.9 Suspension of Subscription Benefits
  TriPrepNex may temporarily suspend access to subscription benefits if:
• payment is reversed or disputed;
• fraudulent activity is suspected;
• the User violates these Terms;
• unauthorized account sharing is detected; or
• suspension is necessary to protect the Platform or comply with legal obligations.
  Where appropriate, access may be restored after the issue has been resolved to TriPrepNex’s
  reasonable satisfaction.
  5.10 Expiry of Subscription
  Upon expiry of the subscription period:
• access to subscriber-only content and features may be discontinued;
• certain learning records or progress may remain available where technically feasible,
  but continued availability is not guaranteed;
• renewal may be required to regain access to premium educational resources.
  5.11 Future Features
  TriPrepNex may introduce additional educational tools, features, services, artificial
  intelligence functionalities, assessments, analytics, or learning resources in the future.
  Unless expressly stated otherwise, the availability of such features shall not create any
  obligation for TriPrepNex to provide them under existing subscription plans.
  5.12 Reservation of Rights
  TriPrepNex reserves all rights not expressly granted under these Terms. Purchase of a
  subscription does not confer any ownership, intellectual property rights, or other
  proprietary interests in the Platform or its content.

2. Payments and Billing
   6.1 Subscription Fees
   Access to certain features, educational content, and services on the Platform requires
   payment of the applicable subscription fees.
   The subscription fee, applicable taxes, payment terms, and subscription duration shall be
   displayed on the Platform at the time of purchase.
   By purchasing a subscription, you agree to pay all applicable charges associated with your
   selected subscription plan.
   6.2 Pricing
   All prices displayed on the Platform are quoted in Indian Rupees (INR) unless otherwise
   expressly stated.
   Prices may be revised, increased, decreased, or modified by TriPrepNex at any time without
   prior notice. However, any price change shall not affect an active subscription that has
   already been purchased and successfully activated.
   6.3 Taxes
   All applicable taxes, including Goods and Services Tax (GST), if applicable, shall be charged in
   accordance with the prevailing laws of India.
   Users are responsible for paying all applicable taxes, duties, levies, or governmental charges
   arising from their purchase of subscriptions or services through the Platform.
   6.4 Payment Methods
   TriPrepNex may accept payments through one or more authorized payment methods,
   including but not limited to:

• UPI
• Credit Cards
• Debit Cards
• Net Banking
• Digital Wallets
• Other payment methods made available through authorized payment service
  providers.
  Availability of payment methods may vary and may be changed at any time.
  6.5 Payment Processing
  Payments are processed through independent third-party payment service providers.
  TriPrepNex does not store your complete debit card, credit card, UPI PIN, internet banking
  credentials, or other sensitive payment authentication information.
  Your use of any payment service provider is subject to the respective provider’s terms,
  conditions, privacy policy, and security practices.
  6.6 Successful Payment
  A subscription shall be considered activated only after:
• successful authorization of payment;
• confirmation from the payment service provider; and
• successful activation by the Platform.
  TriPrepNex shall not be liable for delays caused by banks, payment gateways, network
  failures, technical issues, or other circumstances beyond its reasonable control.
  6.7 Failed or Incomplete Payments
  If a payment fails, is declined, reversed, cancelled, charged back, or remains incomplete for
  any reason:
• the subscription may not be activated or may be suspended;
• access to paid content may be restricted until payment is successfully completed;
• TriPrepNex reserves the right to recover any outstanding amounts legally due.
  6.8 Billing Records
  Electronic invoices, payment confirmations, receipts, or transaction records may be issued
  upon successful payment.
  Users are responsible for verifying the accuracy of their billing details before completing a
  purchase.
  6.9 Billing Information
  You agree to provide accurate and complete billing information during the payment process.
  You are responsible for ensuring that your payment details remain valid and up to date.
  TriPrepNex shall not be responsible for payment failures resulting from inaccurate or
  outdated billing information provided by the User.
  6.10 Unauthorized Transactions
  If you believe that an unauthorized payment has been made using your Account, you must
  notify TriPrepNex immediately through the official support channels.
  TriPrepNex may investigate such matters in cooperation with the relevant payment service
  provider. Resolution of payment disputes may be subject to the policies and procedures of
  the payment provider and applicable law.
  6.11 Fraud Prevention
  TriPrepNex reserves the right to refuse, suspend, delay, or cancel any transaction that is
  suspected to involve:
• fraud;
• unauthorized use of payment instruments;
• identity theft;
• money laundering;
• chargeback abuse; or
• any activity that may violate applicable law or these Terms.
  TriPrepNex may request additional verification before processing or completing a transaction
  where reasonably necessary.
  6.12 Promotional Discounts and Coupons
  Discount codes, promotional offers, referral benefits, coupons, vouchers, and similar
  promotions are subject to their specific terms and conditions.
  Unless expressly stated otherwise:
• only one promotional offer may be applied per transaction;
• promotional benefits are non-transferable and have no cash value;
• expired or invalid promotional codes will not be accepted;
• TriPrepNex reserves the right to withdraw or modify promotional offers at any time,
  subject to applicable law.
  6.13 Pricing Errors
  While TriPrepNex strives to ensure accurate pricing, typographical errors, technical errors, or
  system malfunctions may occasionally result in incorrect pricing or billing information.
  TriPrepNex reserves the right to correct such errors, cancel affected transactions, and issue
  an appropriate refund where required by applicable law.
  6.14 No Ownership Rights
  Payment of subscription fees grants only a limited right to access the subscribed services in
  accordance with these Terms.
  Payment does not transfer ownership of any educational content, software, databases,
  intellectual property, trademarks, or other proprietary rights belonging to TriPrepNex.
  6.15 Reservation of Rights
  TriPrepNex reserves the right to suspend access to paid services, refuse future purchases, or
  take any other lawful action where a User breaches these Terms, engages in fraudulent
  payment activities, or otherwise misuses the Platform.

2. Refund and Cancellation
   7.1 General Policy
   TriPrepNex provides digital educational content and online learning services that are
   delivered electronically. By purchasing a subscription, you acknowledge that access to digital
   content may begin immediately upon successful payment and activation of your
   subscription.
   Accordingly, refunds and cancellations shall be governed by this Section and any applicable
   provisions of law.
   7.2 Subscription Cancellation
   You may choose not to renew your subscription after the expiration of the applicable
   subscription period.
   Cancellation of a subscription shall prevent future access after the subscription expires but
   shall not affect access already granted during the active subscription period, unless the
   subscription is suspended or terminated in accordance with these Terms.
   7.3 Refund Policy
   Unless otherwise required by applicable law or expressly approved by TriPrepNex in writing,
   subscription fees paid for access to digital educational content are non-refundable.
   No refund shall ordinarily be provided where:

• the User has accessed or used the subscribed content or services;
• the User no longer wishes to use the Platform;
• the User purchased the wrong subscription through their own error;
• the User failed to use the subscription during its validity period;
• the User is dissatisfied with examination results or personal academic performance;
• the User changes their mind after purchase;
• the User’s device, internet connection, software, or hardware is incompatible with
  the Platform despite the Platform operating as intended;
• the User violates these Terms, resulting in suspension or termination of the Account
  or subscription.
  7.4 Exceptional Refunds
  TriPrepNex may, at its sole discretion and without creating any obligation or precedent,
  consider a refund in exceptional circumstances, including where:
• a duplicate payment has been successfully processed for the same subscription;
• a payment was successfully completed but the subscription cannot reasonably be
  activated due to a verified technical issue solely attributable to TriPrepNex and the
  issue cannot be resolved within a reasonable period; or
• a refund is otherwise required under applicable law.
  Any such refund decision shall be made on a case-by-case basis.
  7.5 Duplicate or Erroneous Payments
  If you believe that you have been charged more than once for the same subscription or that
  an incorrect amount has been charged due to a technical error, you should contact
  TriPrepNex promptly with reasonable supporting information.
  Verified duplicate or erroneous payments may be refunded using the original payment
  method where practicable.
  7.6 Chargebacks and Payment Disputes
  Initiating an unjustified chargeback, payment reversal, or payment dispute after receiving
  access to the subscribed services may result in:
• temporary suspension of your Account;
• termination of your subscription;
• recovery of outstanding amounts lawfully due; and
• any other lawful action available to TriPrepNex.
  Nothing in this clause limits your statutory rights to raise legitimate payment disputes
  through the appropriate payment provider or as otherwise permitted by law.
  7.7 Promotional Offers
  Subscription fees paid under promotional offers, discount campaigns, coupons, scholarships,
  referral programs, or other special pricing may be subject to additional conditions specified
  at the time of the offer.
  Unless expressly stated otherwise, promotional purchases are also subject to the refund
  provisions of this Section.
  7.8 Refund Processing
  Where TriPrepNex approves a refund, the refund shall generally be processed using the
  original payment method used for the purchase, unless otherwise required by applicable law
  or the payment provider.
  The time required for the refunded amount to appear in your account may vary depending
  on your bank, card issuer, payment service provider, or other financial institution. TriPrepNex
  is not responsible for delays caused by such third parties.
  7.9 Cancellation by TriPrepNex
  TriPrepNex reserves the right to suspend or cancel a subscription if:
• payment is fraudulent, unauthorized, reversed, or incomplete;
• the User violates these Terms;
• the subscription has been obtained through misuse, abuse, or fraudulent activity;
• continued access would compromise the security, integrity, or lawful operation of the
  Platform.
  Unless required by applicable law, cancellation under this clause shall not entitle the User to
  any refund.
  7.10 Reservation of Statutory Rights
  Nothing in this Section is intended to exclude, restrict, or limit any rights or remedies that
  cannot lawfully be excluded under applicable consumer protection laws of India. Where any
  provision of this Section conflicts with mandatory legal requirements, the applicable law
  shall prevail to the extent of such conflict.

2. Access to the Platform
   8.1 Limited Right of Access
   Subject to your compliance with these Terms and the payment of any applicable
   subscription fees, TriPrepNex grants you a limited, personal, non-exclusive, non-transferable,
   non-sublicensable, and revocable right to access and use the Platform solely for your
   personal, non-commercial educational purposes.
   No ownership or proprietary rights in the Platform or its content are transferred to you by
   virtue of such access.
   8.2 Availability of the Platform
   TriPrepNex endeavors to make the Platform reasonably available to Users. However, we do
   not guarantee that the Platform or any part of it will be available at all times or operate
   without interruption.
   Access to the Platform may be temporarily suspended, restricted, or unavailable due to
   maintenance, upgrades, security measures, technical issues, internet or telecommunications
   failures, acts of third parties, or circumstances beyond the reasonable control of TriPrepNex.
   8.3 System Requirements
   You are solely responsible for obtaining and maintaining the devices, internet connectivity,
   software, operating systems, browsers, and other equipment necessary to access and use
   the Platform.
   TriPrepNex does not guarantee that the Platform will function on every device, browser, or
   operating system.
   8.4 Login and Authentication
   Access to certain features of the Platform requires a valid registered User Account.
   You shall access the Platform only through the authentication methods approved by
   TriPrepNex and shall not attempt to bypass, disable, or interfere with any authentication or
   security mechanism.
   8.5 Service Maintenance and Updates
   TriPrepNex may perform scheduled or emergency maintenance, updates, upgrades, bug
   fixes, security patches, or modifications to the Platform at any time.
   Such activities may temporarily affect the availability or functionality of the Platform. Where
   reasonably practicable, advance notice of scheduled maintenance may be provided;
   however, TriPrepNex is not obligated to provide prior notice in every instance.
   8.6 Modifications to the Platform
   TriPrepNex reserves the right, at its sole discretion, to modify, improve, replace, discontinue,
   or remove any feature, functionality, educational content, interface, or service offered
   through the Platform.
   Such modifications may be made without prior notice where reasonably necessary for
   operational, legal, technical, educational, or security reasons.
   8.7 Geographic Availability
   The Platform is intended for lawful use by Users in jurisdictions where such access is
   permitted.
   Users who access the Platform from outside India do so at their own initiative and are solely
   responsible for ensuring compliance with the laws applicable in their jurisdiction.
   8.8 Suspension or Restriction of Access
   TriPrepNex may suspend, restrict, or disable access to the Platform or any part thereof, with
   or without prior notice, where it reasonably believes that:
   a. the User has violated these Terms or any applicable policy;
   b. the User’s Account has been compromised or is being used without authorization;
   c. continued access poses a security, legal, operational, or reputational risk;
   d. maintenance or technical work is necessary; or
   e. such action is required to comply with applicable law, a regulatory requirement, or a
   lawful order of a competent authority.
   8.9 Monitoring
   To protect the security, integrity, and proper functioning of the Platform, TriPrepNex may
   monitor the use of the Platform, subject to applicable law and the Privacy Policy.
   Such monitoring may include the detection of unauthorized access, account sharing,
   fraudulent activity, misuse, or violations of these Terms.
   8.10 No Guarantee of Continuous Access
   While TriPrepNex uses reasonable efforts to provide reliable access to the Platform, it does
   not warrant or guarantee uninterrupted, error-free, secure, or continuous availability.
   TriPrepNex shall not be liable for any loss, delay, inconvenience, or damage arising from
   temporary interruptions, technical failures, internet outages, cyber incidents, maintenance
   activities, or events beyond its reasonable control.
   8.11 Reservation of Rights
   TriPrepNex reserves all rights to control, manage, modify, suspend, or discontinue access to
   the Platform, in whole or in part, at its sole discretion and in accordance with applicable law.
   Any access granted under these Terms is a limited contractual permission and may be
   revoked in accordance with these Terms.

   9.1 Purpose of the Platform
   TriPrepNex is an educational technology platform that provides digital learning resources,
   including but not limited to study notes, practice questions, mock tests, quizzes,
   explanations, revision materials, and other educational content.
   All content and services available on the Platform are provided solely to support
   independent learning, self-study, revision, practice, and academic preparation.
   9.2 Informational and Educational Use
   The educational content made available through the Platform is intended for informational
   and learning purposes only.
   The content is designed to assist Users in their academic preparation and should not be
   considered a substitute for classroom instruction, coaching, professional tutoring, official
   educational materials, or independent study.
   Users are encouraged to consult their respective educational institutions, teachers, official
   examination authorities, prescribed textbooks, and other reliable academic resources in
   addition to using the Platform.
   9.3 No Affiliation with Examination Authorities
   Unless expressly stated otherwise, TriPrepNex is not affiliated with, endorsed by, authorized
   by, sponsored by, or officially associated with any government authority, examination
   board, university, educational institution, testing agency, or regulatory body.
   Any references to examination names, educational boards, universities, syllabi, or academic
   programs are made solely for the purpose of identifying the relevant educational subject
   matter.
   9.4 Independent Learning Responsibility
   Users remain solely responsible for planning, managing, and evaluating their own learning
   and examination preparation.
   Use of the Platform does not relieve Users of the responsibility to study prescribed
   textbooks, official syllabi, notifications, examination instructions, or other authoritative
   educational resources.
   9.5 No Professional or Academic Advice
   Nothing contained on the Platform constitutes professional, academic, legal, financial,
   career, or other expert advice.
   Users should exercise their own judgment and seek appropriate guidance from qualified
   professionals or educational experts where necessary.
   9.6 No Guarantee of Examination Results
   TriPrepNex does not guarantee or promise:

• success in any examination;
• admission to any educational institution;
• achievement of any particular score, percentile, rank, grade, or result;
• qualification for any scholarship, employment opportunity, or professional course; or
• improvement in academic performance.
  Examination outcomes depend on numerous factors beyond the control of TriPrepNex,
  including the User’s individual preparation, effort, understanding, examination conditions,
  syllabus changes, and assessment standards.
  9.7 No Assurance of Completeness
  While TriPrepNex endeavors to provide comprehensive educational resources, the Platform
  does not represent or warrant that all topics, questions, concepts, or examination patterns
  are exhaustive or sufficient for every examination or every User.
  Users should supplement their preparation with additional study materials and official
  resources as appropriate.
  9.8 Changes in Educational Content
  Educational curricula, examination patterns, marking schemes, eligibility criteria,
  notifications, syllabi, and academic requirements may change from time to time.
  TriPrepNex may update its content periodically; however, it does not guarantee immediate
  incorporation of every change or notification issued by any examination authority.
  Users are solely responsible for referring to the latest official notifications, syllabi, and
  instructions published by the relevant examination authorities.
  9.9 User Acknowledgement
  By accessing or using the Platform, you acknowledge and agree that:

   However, despite reasonable quality control measures, inadvertent errors, omissions,

   10.4 User Responsibility
   Users are solely responsible for verifying important academic information from official
   sources, including but not limited to:

• official examination notifications;
• prescribed syllabi;

• official answer keys;
• examination rules and instructions; and
• announcements issued by the relevant examination authorities.
  Users should not rely exclusively on the Platform when making academic or examination
  related decisions.
  10.5 Reporting Errors
  If a User identifies any apparent error, omission, ambiguity, or outdated information in the
  educational content, the User is encouraged to notify TriPrepNex through the official
  support channels.
  TriPrepNex appreciates such feedback and may review the reported issue; however,
  submission of a report does not create any obligation to modify the content within a
  particular timeframe.

• 11.2 Human Review

  content before it is made available on the Platform. However, due to the volume of
  content and the evolving nature of educational materials, not every item may undergo
  individual manual review.
• 11.3 Possibility of Errors
• Users acknowledge that AI-assisted systems and automated technologies may
  occasionally generate or contribute to content containing inaccuracies, omissions,
  ambiguities, outdated information, formatting issues, or unintended errors.
• Accordingly, Users should exercise independent judgment and verify important

• Such content should not be interpreted as official educational advice, official
  examination material, professional advice, or an authoritative statement issued by any

• 11.5 No Guarantee of Accuracy
• The use of AI or other automated technologies does not constitute a representation or
  warranty by TriPrepNex that any content is complete, error-free, current, exhaustive,
  or suitable for every educational purpose.
• Users remain responsible for independently evaluating and verifying information that
  may be material to their academic preparation or examination.
• 11.6 Continuous Improvement
• TriPrepNex continually seeks to improve the quality of its educational content

  improvements, and other quality assurance measures.

• If a User believes that any AI-assisted content contains an error or requires
  clarification, the User is encouraged to notify TriPrepNex through the official support

• TriPrepNex may review such feedback and, where considered appropriate, make
  corrections or improvements. Submission of feedback does not create any obligation
  to modify content within a particular timeframe.
• 11.8 Intellectual Property
• All AI-assisted educational content that is created, adapted, edited, compiled, or made
  available by TriPrepNex forms part of the Platform’s intellectual property and is
  protected under applicable copyright and other intellectual property laws.
• Users acquire only a limited right to access such content in accordance with these
  Terms and do not obtain any ownership rights therein.
• 11.9 Limitation of Liability
• To the maximum extent permitted by applicable law, TriPrepNex shall not be liable
  for any loss, damage, claim, cost, or consequence arising from a User’s reliance upon
  AI-assisted content, including any inaccuracies, omissions, or unintended errors,
  except to the extent liability cannot lawfully be excluded under applicable law.
• 11.10 User Acknowledgement
• By accessing or using the Platform, you acknowledge and agree that:
• a. certain educational content or Platform features may be created or supported using
  AI-assisted technologies;
• b. such technologies may occasionally produce inaccuracies or unintended errors;
• c. AI-assisted content is intended solely as a supplementary educational resource;
• d. you are responsible for exercising independent judgment and verifying important
  academic information using official and authoritative sources; and
• e. your use of AI-assisted content is subject to these Terms and all applicable laws.

2. Intellectual Property
   12.1 Ownership
   Unless expressly stated otherwise, the Platform and all content made available through it,
   including but not limited to study notes, practice questions, mock tests, quizzes,
   explanations, solutions, chapter summaries, text, graphics, illustrations, images, videos,
   audio, software, source code, databases, user interface, website design, logos, trademarks,
   service marks, trade names, icons, layouts, compilations, and other materials (collectively,
   the “Platform Content”) are owned by, licensed to, or lawfully used by TriPrepNex and are
   protected under applicable copyright, trademark, intellectual property, and other laws.
   Nothing in these Terms transfers any ownership or intellectual property rights in the
   Platform Content to any User.
   12.2 Limited License
   Subject to your compliance with these Terms and any applicable subscription requirements,
   TriPrepNex grants you a limited, personal, non-exclusive, non-transferable, non
   sublicensable, and revocable license to access and use the Platform Content solely for your
   personal, non-commercial educational purposes.
   This license does not confer any ownership rights or permit any commercial exploitation of
   the Platform Content.
   12.3 Restrictions on Use
   Except as expressly permitted by these Terms or with the prior written consent of
   TriPrepNex, you shall not, directly or indirectly:
   a. copy, reproduce, republish, distribute, transmit, display, perform, publish, upload,
   download (except where expressly permitted), modify, adapt, translate, or create derivative
   works from any Platform Content;
   b. sell, license, rent, lease, sublicense, assign, or commercially exploit any Platform Content;
   c. share, redistribute, or make Platform Content available to any third party, including
   through coaching classes, educational institutions, websites, applications, social media
   platforms, messaging services, cloud storage, or file-sharing platforms;
   d. remove, alter, obscure, or tamper with any copyright, trademark, watermark, proprietary
   notice, or other rights management information contained in the Platform Content;
   e. scrape, extract, harvest, crawl, index, or collect Platform Content using automated tools,
   bots, scripts, artificial intelligence systems, data mining techniques, or similar technologies
   without the prior written consent of TriPrepNex;
   f. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code,
   algorithms, databases, or underlying technology of the Platform, except where expressly
   permitted by applicable law.
   12.4 Trademarks
   “TriPrepNex”, its name, logo, branding elements, slogans, graphics, icons, and any associated
   trademarks, whether registered or unregistered, are the exclusive property of TriPrepNex or
   its licensors.
   No User is granted any right or license to use such trademarks without the prior written
   permission of TriPrepNex.
   12.5 User Rights
   Subject to these Terms, Users may access and view Platform Content solely for their own
   personal educational purposes during the validity of their subscription.
   Users do not acquire any ownership, copyright, trademark, database rights, or other
   intellectual property rights by accessing or using the Platform.
   12.6 Reporting Intellectual Property Infringement
   TriPrepNex respects the intellectual property rights of others.
   If you believe that any content available on the Platform infringes your copyright or other
   intellectual property rights, you may submit a written notice containing sufficient details to
   enable TriPrepNex to investigate the matter.
   Upon receipt of a valid notice, TriPrepNex may review the complaint and take such action as
   it considers appropriate in accordance with applicable law.
   12.7 Enforcement
   TriPrepNex reserves the right to investigate suspected violations of its intellectual property
   rights and may take appropriate legal, technical, or administrative action, including but not
   limited to:

• suspension or termination of User Accounts;
• removal or restriction of access to content;
• issuance of legal notices;
• claims for damages or injunctive relief; and
• reporting unlawful activities to the appropriate authorities.
  The exercise of any such rights shall not limit any other remedies available under applicable
  law.
  12.8 Feedback
  Any suggestions, ideas, recommendations, comments, or feedback voluntarily submitted by
  Users regarding the Platform may be used by TriPrepNex without restriction or obligation to
  provide compensation, acknowledgment, or attribution, unless otherwise agreed in writing.
  12.9 Reservation of Rights
  All rights not expressly granted to Users under these Terms are reserved by TriPrepNex.
  No implied license, waiver, assignment, or transfer of any intellectual property rights shall
  arise by virtue of a User’s access to or use of the Platform.
  12.10 Survival
  The provisions of this Section shall survive the suspension, termination, expiration, or
  cancellation of a User’s Account or subscription and shall continue to apply for so long as any
  applicable intellectual property rights remain in force.

2. Copyright Policy
   13.1 Respect for Copyright
   TriPrepNex respects the intellectual property and copyright rights of authors, publishers,
   educational institutions, content creators, licensors, and other rights holders.
   Users are expected to respect such rights while accessing and using the Platform.
   13.2 Original and Licensed Content
   The educational content made available on the Platform may consist of:

• content created by TriPrepNex;
• content developed with the assistance of technology and subsequently reviewed or
  adapted by TriPrepNex;
• content used under valid licenses or permissions; and
• content that is otherwise lawfully used under applicable law.
  Nothing in these Terms shall be interpreted as transferring ownership of such content to any
  User.
  13.3 User Obligations
  Users shall not, directly or indirectly:
  a. upload, publish, transmit, distribute, reproduce, copy, or share any copyrighted material
  through the Platform without obtaining the necessary rights or permissions;
  b. claim ownership of any Platform Content;
  c. remove or alter copyright notices, watermarks, trademarks, or proprietary markings;
  d. reproduce or redistribute Platform Content for commercial purposes;
  e. use Platform Content in any manner that infringes the intellectual property rights of
  TriPrepNex or any third party.
  13.4 Copyright Infringement Notice
  If any person believes that content available on the Platform infringes their copyright or
  other intellectual property rights, they may submit a written notice to TriPrepNex
  containing, where reasonably applicable:
• the name and contact details of the complainant;
• identification of the copyrighted work claimed to have been infringed;
• identification of the allegedly infringing material and its location on the Platform;
• a statement explaining the basis of the ownership or authorization to act on behalf of
  the copyright owner;
• a declaration that the information provided is accurate and made in good faith; and
• any supporting documents or evidence reasonably necessary to evaluate the
  complaint.
  TriPrepNex may request additional information before taking any action.
  13.5 Review of Complaints
  Upon receiving a copyright complaint, TriPrepNex may, at its sole discretion:
• acknowledge receipt of the complaint;
• conduct an internal review;
• seek clarification or additional information from the complainant or any affected
  party;
• temporarily restrict access to the disputed material where considered appropriate;
• remove or modify the disputed content if warranted; or
• reject complaints that are incomplete, unsupported, frivolous, malicious, or
  otherwise without sufficient basis.
  13.6 No Admission of Liability
  The review, removal, restriction, or modification of any content by TriPrepNex shall not
  constitute an admission of infringement, liability, wrongdoing, or legal responsibility.
  Any action taken is solely for the purpose of investigating or resolving the complaint in
  accordance with applicable law.
  13.7 Repeat Infringement
  TriPrepNex reserves the right to suspend, restrict, or permanently terminate the Accounts of
  Users who repeatedly infringe or are reasonably believed to have repeatedly infringed the
  intellectual property rights of TriPrepNex or third parties.
  Such action may be taken without prejudice to any other legal remedies available under
  applicable law.
  13.8 Reservation of Rights
  TriPrepNex reserves all legal rights and remedies available under applicable copyright,
  intellectual property, and other laws against any person who:
• unlawfully copies or reproduces Platform Content;
• distributes or sells Platform Content without authorization;
• uploads infringing material to the Platform;
• circumvents technological protection measures; or
• otherwise violates the intellectual property rights of TriPrepNex or third parties.
  13.9 Cooperation with Authorities
  Where required by applicable law or pursuant to a lawful order issued by a competent
  authority, TriPrepNex may cooperate with governmental authorities, courts, law
  enforcement agencies, or regulatory bodies in connection with investigations relating to
  alleged copyright or intellectual property infringements.
  13.10 Contact for Copyright Matters
  Copyright-related notices and communications should be submitted through the official
  contact details or grievance mechanism designated by TriPrepNex from time to time.
  Submission of a complaint does not guarantee removal of any content, and TriPrepNex
  reserves the right to determine the appropriate course of action after reviewing the relevant
  facts and applicable law.

2. User Responsibilities
   14.1 Compliance with Terms
   By accessing or using the Platform, you agree to comply with these Terms & Conditions, the
   Privacy Policy, the Refund Policy, the Disclaimer, and all other policies or guidelines
   published by TriPrepNex from time to time.
   You are solely responsible for ensuring that your use of the Platform complies with all
   applicable laws and regulations.
   14.2 Lawful Use
   You agree to use the Platform only for lawful, personal, and educational purposes.
   You shall not use the Platform for any unlawful, fraudulent, deceptive, harmful, commercial,
   or unauthorized activity.
   14.3 Accurate Information
   You are responsible for providing true, accurate, complete, and up-to-date information while
   creating or maintaining your Account.
   You shall promptly update any information that becomes inaccurate or outdated.
   14.4 Account Security
   You are responsible for maintaining the confidentiality of your Account credentials and for all
   activities carried out through your Account.
   You shall take reasonable steps to prevent unauthorized access to your Account and shall
   promptly notify TriPrepNex if you suspect any unauthorized use or security breach.
   14.5 Responsible Use of Educational Content
   You agree to use the educational content solely for your personal, non-commercial learning
   purposes.
   You shall not rely exclusively on the Platform for academic or examination-related decisions
   and are responsible for verifying important information from official educational sources
   where appropriate.
   14.6 Respect for Intellectual Property
   You agree to respect the intellectual property rights of TriPrepNex and third parties.
   You shall not copy, reproduce, distribute, publish, modify, commercially exploit, or otherwise
   misuse any Platform Content except as expressly permitted under these Terms.
   14.7 Protection of the Platform
   You agree not to engage in any activity that could disrupt, interfere with, damage, overload,
   impair, or compromise the security, integrity, availability, or proper functioning of the
   Platform.
   14.8 Cooperation
   You agree to cooperate with TriPrepNex in connection with the investigation of suspected
   violations of these Terms, security incidents, fraudulent activities, intellectual property
   complaints, or any matter relating to the lawful operation of the Platform.
   14.9 Compliance with Examination Rules
   Where the Platform provides educational resources relating to any examination, you remain
   solely responsible for complying with the rules, eligibility requirements, instructions,
   notifications, and policies issued by the relevant examination authority.
   TriPrepNex is not responsible for monitoring or ensuring your compliance with such
   requirements.
   14.10 Responsibility for Devices and Internet Access
   You are solely responsible for obtaining and maintaining suitable devices, internet
   connectivity, software, and other technical resources necessary to access and use the
   Platform.
   TriPrepNex shall not be responsible for any inability to access the Platform resulting from
   your equipment, internet service, or software configuration.
   14.11 Reporting Errors and Misuse
   You agree to promptly notify TriPrepNex if you become aware of:

• unauthorized access to your Account;
• security vulnerabilities affecting the Platform;
• suspected fraudulent activity;
• copyright infringement;
• technical errors; or
• significant inaccuracies in educational content.
  Submission of such reports does not create any entitlement to compensation or impose an
  obligation on TriPrepNex to act within a specific timeframe.
  14.12 User Acknowledgement
  By using the Platform, you acknowledge and agree that:
  a. you are responsible for your own actions while using the Platform;
  b. you will use the Platform honestly, responsibly, and in accordance with these Terms;
  c. you will exercise independent judgment when using educational content;
  d. you will not misuse the Platform or interfere with the rights of other Users; and
  e. any breach of your responsibilities under this Section may result in suspension or
  termination of your Account and may expose you to legal consequences under applicable
  law.
  14.13 Reservation of Rights
  TriPrepNex reserves the right to investigate any suspected breach of this Section and to take
  appropriate action, including issuing warnings, restricting access, suspending or terminating
  Accounts, removing content, or pursuing any other remedy available under applicable law.

2. Prohibited Activities
   15.1 General Prohibition
   Users shall use the Platform only for lawful, personal, and educational purposes. You agree
   not to engage in, attempt to engage in, encourage, facilitate, or assist any activity that
   violates these Terms, applicable law, or the rights of TriPrepNex or any third party.
   15.2 Unauthorized Access
   You shall not:
   a. access or attempt to access any account, system, database, server, or resource without
   authorization;
   b. circumvent, disable, bypass, or interfere with any authentication, security, or access
   control mechanism implemented by TriPrepNex;
   c. attempt to gain unauthorized administrative privileges or elevated access to the Platform.
   15.3 Account Misuse
   You shall not:
   a. share your Account credentials with any other person;
   b. permit multiple individuals to use a single subscription;
   c. create multiple Accounts to obtain unauthorized benefits;
   d. impersonate another person or create an Account using false or misleading information;
   e. sell, rent, lease, transfer, assign, or otherwise provide access to your Account to another
   person.
   15.4 Misuse of Educational Content
   You shall not:
   a. copy, reproduce, download (except where expressly permitted), distribute, publish,
   transmit, display, sell, license, or commercially exploit Platform Content;
   b. create derivative works from Platform Content without prior written authorization;
   c. upload Platform Content to websites, applications, social media platforms, messaging
   groups, cloud storage services, or file-sharing platforms;
   d. reproduce or distribute practice questions, study notes, mock tests, explanations, or other
   educational materials for commercial or institutional purposes.
   15.5 Technical Misuse
   You shall not:
   a. introduce viruses, malware, ransomware, spyware, worms, Trojan horses, or other
   malicious code into the Platform;
   b. interfere with the operation, security, availability, or performance of the Platform;
   c. overload, flood, or conduct denial-of-service attacks against the Platform;
   d. probe, scan, or test the vulnerability of the Platform without prior written authorization.
   15.6 Automated Access
   You shall not use bots, scripts, crawlers, spiders, scrapers, artificial intelligence systems, data
   mining tools, automated software, or similar technologies to access, collect, extract,
   monitor, index, or reproduce any portion of the Platform without the prior written consent
   of TriPrepNex.
   15.7 Reverse Engineering
   Except where expressly permitted by applicable law, you shall not:
   a. reverse engineer;
   b. decompile;
   c. disassemble;
   d. decode; or
   e. otherwise attempt to discover the source code, algorithms, databases, architecture, or
   underlying technology of the Platform.
   15.8 Fraudulent Activities
   You shall not engage in any activity involving:

• payment fraud;
• identity theft;
• chargeback abuse;
• unauthorized use of payment instruments;
• falsification of information;
• deceptive or misleading practices; or
• any other fraudulent conduct.
  15.9 Unlawful Use
  You shall not use the Platform to:
  a. violate any applicable law or regulation;
  b. infringe the rights of any third party;
  c. facilitate unlawful activity;
  d. distribute unlawful, defamatory, obscene, abusive, discriminatory, or otherwise prohibited
  material; or
  e. engage in harassment, intimidation, threats, or abusive conduct toward other Users or
  TriPrepNex personnel.
  15.10 Interference with Other Users
  You shall not interfere with or disrupt the lawful use and enjoyment of the Platform by other
  Users, including by attempting to gain unauthorized access to their Accounts, transmitting
  malicious content, or otherwise impairing their ability to use the Platform.
  15.11 Commercial Exploitation
  Without the prior written consent of TriPrepNex, you shall not use the Platform or any
  Platform Content for:
• commercial training;
• coaching classes;
• institutional teaching;
• publication;
• resale;
• licensing;
• advertising;
• promotional activities; or
• any revenue-generating purpose.
  15.12 Circumvention
  You shall not attempt to circumvent any technological measures, subscription restrictions,
  digital rights management systems, usage limits, or security features implemented by
  TriPrepNex.
  15.13 Investigation and Enforcement
  TriPrepNex reserves the right to investigate suspected violations of this Section and may,
  subject to applicable law:
• issue warnings;
• suspend or terminate User Accounts;
• suspend or cancel subscriptions;
• restrict access to the Platform;
• remove or disable access to content;
• report suspected unlawful activity to competent authorities; and
• pursue any civil, criminal, or other legal remedies available under applicable law.
  15.14 No Waiver
  Failure by TriPrepNex to enforce any provision of this Section in a particular instance shall
  not constitute a waiver of its right to enforce that or any other provision in the future.
  15.15 User Acknowledgement
  By using the Platform, you acknowledge that compliance with this Section is a fundamental
  condition of your right to access and use TriPrepNex.
  Any violation of this Section may result in immediate suspension or termination of your
  Account or subscription and may expose you to civil or criminal liability under applicable law,
  where appropriate.

2. User-Generated Content
   16.1 User Content
   The Platform may permit Users to submit, upload, post, transmit, or otherwise make
   available certain content, including but not limited to comments, feedback, reviews,
   suggestions, questions, profile information, images, documents, or other materials (“User
   Generated Content”).
   Users remain solely responsible for all User-Generated Content submitted through the
   Platform.
   16.2 Ownership
   Except as otherwise provided in these Terms, Users retain ownership of any intellectual
   property rights they may have in their User-Generated Content.
   However, by submitting User-Generated Content to the Platform, you represent and warrant
   that you have all necessary rights, permissions, and authority to submit such content.
   16.3 License Granted to TriPrepNex
   By submitting User-Generated Content, you grant TriPrepNex a non-exclusive, worldwide,
   royalty-free, transferable, sublicensable (where reasonably necessary), and revocable license
   to use, reproduce, display, publish, transmit, store, modify (only for formatting, technical,
   moderation, accessibility, or security purposes), distribute, and otherwise process such User
   Generated Content solely for the purpose of operating, improving, maintaining, promoting,
   and providing the Platform and its services.
   This license shall continue only for so long as reasonably necessary for the above purposes
   or as otherwise required by applicable law.
   16.4 Prohibited User Content
   Users shall not submit or upload any content that:
   a. infringes the copyright, trademark, privacy, publicity, or other legal rights of any person;
   b. is false, misleading, fraudulent, or deceptive;
   c. is defamatory, abusive, threatening, harassing, hateful, discriminatory, obscene, or
   otherwise unlawful;
   d. contains malware, viruses, malicious code, or harmful software;
   e. promotes illegal activities or violates applicable laws;
   f. contains confidential information belonging to another person without authorization;
   g. impersonates another individual or misrepresents affiliation with any person or
   organization.
   16.5 Moderation
   TriPrepNex reserves the right, but assumes no obligation, to review, monitor, edit, restrict,
   refuse, remove, or disable access to any User-Generated Content at its sole discretion where
   it reasonably believes that such content:

• violates these Terms;
• infringes the rights of any person;
• is unlawful;
• compromises the security or integrity of the Platform; or
• is otherwise inappropriate for the Platform.
  16.6 No Endorsement
  User-Generated Content reflects the views of the respective User and does not necessarily
  represent the views, opinions, recommendations, or endorsements of TriPrepNex.
  TriPrepNex does not guarantee the accuracy, reliability, completeness, or legality of User
  Generated Content.
  16.7 Removal of Content
  TriPrepNex may remove or disable access to User-Generated Content at any time, with or
  without prior notice, where reasonably necessary to comply with these Terms, applicable
  law, or a lawful request from a competent authority.
  16.8 User Responsibility
  Users are solely responsible for ensuring that their User-Generated Content complies with
  these Terms and applicable law.
  Users shall indemnify and hold TriPrepNex harmless from claims arising directly from their
  unlawful or infringing User-Generated Content, subject to applicable law.
  16.9 Feedback and Suggestions
  If you voluntarily provide feedback, ideas, recommendations, feature requests, or
  suggestions relating to the Platform, TriPrepNex may use such feedback without any
  obligation to provide compensation, acknowledgment, or attribution, unless otherwise
  agreed in writing.
  16.10 Reservation of Rights
  TriPrepNex reserves the right to suspend or terminate the Accounts of Users who repeatedly
  submit User-Generated Content that violates these Terms or applicable law, in accordance
  with these Terms and applicable law.

2. Third-Party Links and Services
   17.1 Third-Party Websites
   The Platform may contain links to third-party websites, applications, payment gateways,
   educational resources, social media platforms, cloud services, or other online services
   (“Third-Party Services”) for the convenience of Users.
   Such links are provided solely for informational or functional purposes and do not imply any
   affiliation, sponsorship, endorsement, recommendation, approval, or partnership by
   TriPrepNex unless expressly stated.
   17.2 Independent Services
   Third-Party Services are owned, operated, and controlled by independent third parties.
   TriPrepNex does not own, control, monitor, or assume responsibility for the availability,
   content, accuracy, legality, privacy practices, security, products, services, or policies of any
   Third-Party Service.
   17.3 User Responsibility
   Your access to and use of any Third-Party Service is entirely at your own discretion and risk.
   You are responsible for reviewing and complying with the applicable terms of use, privacy
   policies, and other policies of the relevant third party before using their services.
   17.4 Payment Service Providers
   Payments made through the Platform may be processed by independent third-party
   payment service providers.
   TriPrepNex is not responsible for:

• payment gateway downtime;
• banking or network failures;
• transaction delays;
• payment processing errors caused by third-party providers; or
• the policies or practices of such providers.
  Any payment-related issue attributable to a third-party payment provider may be subject to
  that provider’s own terms and procedures.
  17.5 External Educational Resources
  The Platform may refer Users to official examination authorities, universities, educational
  institutions, government websites, textbooks, publicly available resources, or other
  educational references.
  Such references are provided solely for educational convenience.
  TriPrepNex does not guarantee the accuracy, completeness, availability, or continued
  accessibility of any external resource.
  17.6 No Liability
  To the maximum extent permitted by applicable law, TriPrepNex shall not be liable for any
  direct, indirect, incidental, consequential, or other loss or damage arising from:
  a. the use of or inability to use any Third-Party Service;
  b. reliance upon information available on Third-Party Services;
  c. transactions conducted with third parties;
  d. technical failures or interruptions affecting Third-Party Services; or
  e. any act or omission of a third-party service provider.
  Nothing in this clause excludes or limits any liability that cannot lawfully be excluded under
  applicable law.
  17.7 Changes to Third-Party Links
  TriPrepNex reserves the right to add, modify, replace, or remove links to Third-Party Services
  at any time without prior notice.
  The removal or modification of any Third-Party Service shall not give rise to any claim against
  TriPrepNex.

  legality, security, availability, or performance of any Third-Party Service.
  Users acknowledge that any dealings with third parties are solely between the User and the
  relevant third party.
  17.9 Reservation of Rights
  Nothing in this Section shall be interpreted as creating any legal relationship, agency,
  partnership, joint venture, or fiduciary relationship between TriPrepNex and any third-party
  service provider unless expressly agreed in writing.

   its Users. We are committed to collecting, using, storing, processing, and protecting personal
   information in accordance with our Privacy Policy and applicable laws.
   18.2 Privacy Policy
   Your access to and use of the Platform is also governed by the TriPrepNex Privacy Policy,
   which forms an integral part of these Terms.
   By accessing or using the Platform, you acknowledge that you have read, understood, and
   agree to the Privacy Policy.
   In the event of any inconsistency between these Terms and the Privacy Policy regarding the
   processing of personal information, the Privacy Policy shall prevail to the extent of such
   inconsistency.
   18.3 Collection of Information
   TriPrepNex may collect information that you voluntarily provide or that is generated through
   your use of the Platform, including but not limited to:

• registration and account information;

• subscription and payment-related information;

  You are responsible for maintaining the confidentiality of your Account credentials and for
  taking reasonable precautions to safeguard your personal information.
  You should promptly notify TriPrepNex if you become aware of any suspected unauthorized
  access to your Account or any security incident affecting your personal information.
  18.7 Third-Party Services
  The Platform may utilize third-party service providers, including payment processors, cloud
  hosting providers, analytics services, communication providers, and other service providers
  to support the operation of the Platform.
  Such third parties may process personal information on behalf of TriPrepNex in accordance

  applicable law, judicial order, governmental authority, regulatory authority, or other lawful

  TriPrepNex may also disclose information where reasonably necessary to:

• protect the safety, rights, or property of TriPrepNex, its Users, or third parties.

  TriPrepNex reserves the right to update or modify its Privacy Policy from time to time to

  functionality.
  Material changes may be communicated through the Platform or by other reasonable means
  where required by applicable law.
  Continued use of the Platform after such updates constitutes acceptance of the revised

  Questions, requests, or concerns relating to privacy or the processing of personal

2. Suspension and Termination
   19.1 Right to Suspend or Terminate
   TriPrepNex reserves the right, at its sole discretion and subject to applicable law, to suspend,
   restrict, deactivate, or permanently terminate a User’s Account, subscription, or access to all
   or any part of the Platform where it reasonably believes that such action is necessary to
   protect the Platform, its Users, its intellectual property, or its legitimate business interests.
   19.2 Grounds for Suspension or Termination
   Without limiting any other rights available under these Terms or applicable law, TriPrepNex
   may suspend or terminate a User’s access where the User:
   a. violates these Terms, the Privacy Policy, Refund Policy, Disclaimer, or any other applicable
   Platform policy;
   b. provides false, inaccurate, misleading, or fraudulent information;
   c. engages in unauthorized access, hacking, scraping, reverse engineering, or any activity
   that compromises the security or integrity of the Platform;
   d. shares Account credentials or permits unauthorized use of a subscription;
   e. infringes the intellectual property rights of TriPrepNex or any third party;
   f. engages in fraudulent payment activities, chargeback abuse, identity theft, or
   unauthorized transactions;
   g. uses the Platform for unlawful, abusive, defamatory, discriminatory, harmful, or
   fraudulent purposes;
   h. interferes with the operation of the Platform or the rights of other Users; or
   i. otherwise engages in conduct that TriPrepNex reasonably believes may expose the
   Platform, its Users, or third parties to legal, operational, security, or reputational risks.
   19.3 Temporary Suspension
   Where appropriate, TriPrepNex may temporarily suspend a User’s Account or subscription
   while investigating suspected violations, security incidents, payment disputes, or other
   matters requiring review.
   Temporary suspension does not constitute a waiver of TriPrepNex’s right to permanently
   terminate the Account if a violation is confirmed.
   19.4 Immediate Action
   Where reasonably necessary to protect the security or integrity of the Platform, comply with
   applicable law, prevent fraud, or respond to a lawful order of a competent authority,
   TriPrepNex may suspend or terminate access immediately and without prior notice.
   19.5 User-Initiated Termination
   Users may discontinue use of the Platform at any time and may request closure of their
   Account in accordance with the applicable procedures published by TriPrepNex.
   Closure of an Account shall not automatically entitle the User to a refund except as expressly
   provided under the Refund Policy or required by applicable law.
   19.6 Effect of Suspension or Termination
   Upon suspension or termination:
   a. the User’s right to access the Platform or relevant services may immediately cease;
   b. access to subscription-only content may be disabled;
   c. the User shall immediately cease all use of Platform Content except as otherwise
   permitted by applicable law;
   d. TriPrepNex may deactivate or remove access credentials, subject to applicable law and its
   data retention practices.
   19.7 Retention of Information
   Following suspension or termination, TriPrepNex may retain certain User information where
   reasonably necessary to:

• comply with applicable law;
• resolve disputes;
• enforce these Terms;
• prevent fraud;
• protect the security and integrity of the Platform; or
• satisfy legitimate business or regulatory requirements,
  all in accordance with the Privacy Policy and applicable law.
  19.8 No Waiver of Rights
  Suspension or termination of an Account shall not limit or waive any legal rights, remedies,
  claims, or causes of action available to TriPrepNex under these Terms or applicable law.
  19.9 Survival
  Any provision of these Terms that by its nature is intended to survive suspension,
  termination, or expiration shall remain in full force and effect, including but not limited to
  provisions relating to:
• Intellectual Property;
• Copyright Policy;
• Payment Obligations;
• Refund Policy;
• Disclaimers;
• Limitation of Liability;
• Indemnification;
• Governing Law;
• Dispute Resolution; and
• any accrued rights or obligations existing prior to termination.
  19.10 Reservation of Rights
  TriPrepNex reserves all rights available under these Terms and applicable law to investigate
  violations, suspend or terminate access, seek injunctive relief, recover damages where
  permitted, and pursue any other lawful remedy necessary to protect the Platform, its Users,
  and its legitimate interests.

2. Disclaimer of Warranties
   20.1 “As Is” and “As Available”
   The Platform, including all educational content, software, services, features, functionality,
   study materials, practice questions, mock tests, explanations, and other resources, is
   provided on an “AS IS” and “AS AVAILABLE” basis.
   To the maximum extent permitted by applicable law, TriPrepNex disclaims all warranties,
   representations, and guarantees, whether express, implied, statutory, or otherwise, except
   as expressly stated in these Terms.
   20.2 No Warranty of Accuracy or Completeness
   While TriPrepNex endeavors to provide educational content with reasonable care and
   periodically updates its materials, it does not warrant or guarantee that the Platform or any
   content will always be:

• accurate;
• complete;
• current;
• error-free;
• uninterrupted;
• reliable;
• suitable for every User or examination; or
• free from omissions or typographical errors.
  20.3 Educational Purpose
  All educational content is provided solely for learning, revision, practice, and informational
  purposes.
  Nothing available on the Platform constitutes official examination material, official answer
  keys, academic certification, professional advice, legal advice, financial advice, career advice,
  or any other form of professional service.
  Users remain solely responsible for verifying important academic information through
  official educational authorities and other reliable sources.
  20.4 No Guarantee of Results
  TriPrepNex does not guarantee or warrant:
• success in any examination;
• admission to any educational institution;
• achievement of any specific score, rank, percentile, grade, or academic outcome;
• employment opportunities; or
• any particular educational or professional result.
  Academic performance depends upon numerous factors beyond the reasonable control of
  TriPrepNex, including the User’s own preparation, understanding, effort, examination
  conditions, and changes in educational requirements.
  20.5 Platform Availability
  TriPrepNex does not warrant that:
• the Platform will operate continuously or without interruption;
• defects or errors will always be corrected immediately;
• the Platform will always be compatible with every device, browser, or operating
  system;
• the Platform will always be free from viruses, malware, or other harmful components
  despite reasonable security measures; or
• access to the Platform will always be available without delay.
  20.6 Third-Party Services
  TriPrepNex makes no warranty regarding any third-party websites, payment gateways, cloud
  services, communication providers, educational resources, analytics services, or other third
  party services that may be linked to or integrated with the Platform.
  Your use of such services is governed by the respective third parties and is undertaken at
  your own discretion and risk.
  20.7 User Responsibility
  You acknowledge that your use of the Platform is voluntary and at your own informed
  discretion.
  You are solely responsible for:

• maintaining appropriate backup copies of your own information where necessary;

   employees, consultants, affiliates, licensors, service providers, and representatives shall not
   be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or
   other damages, losses, costs, or expenses arising out of or relating to your access to, use of,
   inability to use, or reliance upon the Platform or any content or services provided through it.
   21.2 Educational Decisions
   TriPrepNex shall not be responsible for any academic, educational, professional, or personal
   decision made by a User based upon information, study materials, practice questions, mock
   tests, explanations, or other educational resources available on the Platform.
   Users remain solely responsible for their own examination preparation, educational choices,
   and academic decisions.
   21.3 No Liability for Examination Outcomes
   TriPrepNex shall not be liable for any loss or damage arising from:

• examination results;
• scores, grades, ranks, or percentiles;
• admission decisions;
• scholarship decisions;
• employment opportunities;
• academic performance; or
• any expectation or outcome related to a User’s education or career.
  21.4 Technical Interruptions
  TriPrepNex shall not be liable for any interruption, delay, suspension, unavailability,
  malfunction, or failure of the Platform arising from:
• maintenance activities;
• internet failures;
• telecommunications issues;
• power outages;
• cyberattacks;
• viruses or malware introduced by third parties;
• acts or omissions of third-party service providers; or
• events beyond the reasonable control of TriPrepNex.
  21.5 Content Accuracy
  While TriPrepNex endeavors to maintain educational content with reasonable care, it shall
  not be liable for any loss arising from:
• inaccuracies;
• omissions;
• typographical errors;
• outdated information;
• syllabus changes;
• examination pattern changes; or
• reliance placed upon Platform Content.
  Users are encouraged to verify important information using official educational resources.
  21.6 Third-Party Services
  TriPrepNex shall not be liable for any act, omission, product, service, website, application,
  payment gateway, cloud service, communication provider, or other Third-Party Service that
  is linked to, integrated with, or accessible through the Platform.
  21.7 User Conduct
  TriPrepNex shall not be responsible for the acts, omissions, misconduct, statements, or
  unlawful activities of any User or third party using the Platform.
  21.8 Maximum Liability
  To the fullest extent permitted by applicable law, if TriPrepNex is found legally liable for any
  claim arising out of these Terms or the use of the Platform, TriPrepNex’s total aggregate
  liability shall not exceed the total subscription fees actually paid by the affected User to
  TriPrepNex for the subscription giving rise to the claim during the twelve (12) months
  immediately preceding the event giving rise to such claim.
  This limitation shall not apply where such limitation is prohibited by applicable law.
  21.9 No Liability for Indirect Damages
  To the fullest extent permitted by applicable law, TriPrepNex shall not be liable for any
  indirect, consequential, incidental, special, exemplary, or punitive damages, including but
  not limited to:
• loss of profits;
• loss of revenue;
• loss of business opportunity;
• loss of goodwill;
• loss of reputation;
• loss of educational opportunity;
• loss of data;
• business interruption; or
• any similar economic or intangible loss,
  even if TriPrepNex has been advised of the possibility of such damages.
  21.10 Consumer Rights
  Nothing in this Section excludes or limits any liability that cannot lawfully be excluded or
  limited under applicable law, including any non-excludable rights or remedies available to
  consumers under applicable legislation.
  21.11 User Acknowledgement
  By accessing or using the Platform, you acknowledge and agree that:
  a. the subscription fees charged for the Platform reflect the allocation of risk between you
  and TriPrepNex;
  b. the limitations of liability contained in these Terms are reasonable and form an essential
  basis of the agreement between you and TriPrepNex; and
  c. without these limitations, TriPrepNex would not be able to provide the Platform on
  substantially the same commercial terms.
  21.12 Survival
  The provisions of this Section shall survive the suspension, termination, expiration, or
  cancellation of your Account, subscription, or these Terms to the fullest extent permitted by
  applicable law.

2. Indemnification
   22.1 User Indemnity
   To the fullest extent permitted by applicable law, you agree to defend (where requested by
   TriPrepNex), indemnify, and hold harmless TriPrepNex, its owners, directors, officers,
   employees, consultants, affiliates, licensors, service providers, successors, assigns, and
   representatives from and against any and all claims, demands, actions, proceedings,
   liabilities, losses, damages, judgments, penalties, fines, costs, and reasonable expenses
   (including reasonable legal fees) arising out of or relating to:
   a. your breach of these Terms or any other policy of TriPrepNex;
   b. your violation of any applicable law or regulation;
   c. your misuse of the Platform or any Platform Content;
   d. your infringement or alleged infringement of the intellectual property, privacy,
   contractual, or other legal rights of any third party;
   e. any fraudulent, unlawful, deceptive, or unauthorized activity conducted through your
   Account;
   f. any User-Generated Content submitted, uploaded, or published by you that violates these
   Terms or applicable law; or
   g. your negligent or wrongful acts or omissions in connection with the use of the Platform.
   22.2 Cooperation
   Where a claim subject to indemnification arises, you agree to provide reasonable
   cooperation and assistance to TriPrepNex in investigating, responding to, defending, or
   resolving the matter, including providing relevant information or documentation that is
   reasonably requested.
   22.3 Control of Defence
   TriPrepNex reserves the right, at its own expense, to assume the exclusive control of the
   defence, negotiation, settlement, or resolution of any matter for which indemnification may
   be sought under this Section.
   Where TriPrepNex assumes such control, you agree to cooperate reasonably and not to
   settle or compromise any claim affecting TriPrepNex without its prior written consent.
   22.4 Limitation
   Your obligation to indemnify under this Section shall apply only to the extent that the
   relevant claim, loss, or damage results from your acts, omissions, breach of these Terms, or
   other conduct for which you are legally responsible under applicable law.
   Nothing in this Section shall require you to indemnify TriPrepNex for losses arising solely
   from TriPrepNex’s own fraud, wilful misconduct, or any liability that cannot lawfully be
   transferred or excluded under applicable law.
   22.5 Continuing Obligation
   The indemnification obligations set out in this Section shall survive the suspension,
   termination, expiration, or cancellation of your Account, subscription, or these Terms, to the
   extent permitted by applicable law.
   22.6 Reservation of Rights
   The rights and remedies available to TriPrepNex under this Section are in addition to, and
   not in substitution for, any other rights or remedies available under these Terms or
   applicable law.
   Nothing contained in this Section shall limit TriPrepNex’s right to seek injunctive relief,
   damages, specific performance, or any other remedy available under applicable law.
3. Force Majeure
   23.1 Force Majeure Events0
   TriPrepNex shall not be liable for any delay, interruption, failure, or inability to perform any
   obligation under these Terms where such delay or failure results from events or
   circumstances beyond its reasonable control (“Force Majeure Event”).
   Force Majeure Events include, but are not limited to:

• natural disasters, including earthquakes, floods, cyclones, storms, droughts, and
  other severe weather events;
• fire, explosion, or other accidents;
• epidemics, pandemics, public health emergencies, or quarantines;
• war, armed conflict, terrorism, civil unrest, riots, or acts of public enemies;
• strikes, lockouts, labour disputes, or industrial actions;
• acts or omissions of governmental, judicial, or regulatory authorities;
• changes in applicable law or regulatory requirements;
• interruption or failure of electricity, internet, telecommunications, cloud
  infrastructure, hosting services, domain services, or other essential utilities;
• cyberattacks, distributed denial-of-service (DDoS) attacks, ransomware, or other
  large-scale security incidents not caused by TriPrepNex’s wilful misconduct; and
• any other event beyond the reasonable control of TriPrepNex.
  23.2 Suspension of Obligations
  During the continuance of a Force Majeure Event, the affected obligations of TriPrepNex
  shall be suspended to the extent and for the duration that performance is prevented or
  materially affected.
  TriPrepNex shall use commercially reasonable efforts to resume normal operations as soon
  as reasonably practicable.
  23.3 No Liability
  To the fullest extent permitted by applicable law, TriPrepNex shall not be liable for any loss,
  damage, delay, interruption, or inconvenience arising directly or indirectly from a Force
  Majeure Event.
  Nothing in this Section excludes or limits any liability that cannot lawfully be excluded under
  applicable law.
  23.4 Mitigation
  Where reasonably practicable, TriPrepNex will take reasonable steps to mitigate the impact
  of a Force Majeure Event on the availability and operation of the Platform. However,
  TriPrepNex does not guarantee uninterrupted access during such events.
  23.5 Effect on Subscription
  A Force Majeure Event shall not, by itself, create any entitlement to compensation, damages,
  or refunds, except where such entitlement is expressly required under applicable law or
  provided under TriPrepNex’s Refund Policy.
  23.6 Reservation of Rights
  TriPrepNex reserves the right to temporarily suspend, modify, restrict, or discontinue any
  part of the Platform during a Force Majeure Event where reasonably necessary to protect
  the Platform, its Users, or its operations.
  23.7 Survival
  The provisions of this Section shall survive the suspension, termination, expiration, or
  cancellation of these Terms to the extent necessary to give effect to their purpose.

2. Governing Law
   24.1 Applicable Law
   These Terms, your access to and use of the Platform, and any dispute, claim, controversy, or
   matter arising out of or relating to these Terms, the Platform, or any services provided by
   TriPrepNex shall be governed by and construed in accordance with the laws of the Republic
   of India, without regard to its conflict of law principles.
   24.2 Compliance with Applicable Laws
   Users agree to comply with all applicable laws, rules, regulations, notifications, and
   governmental requirements while accessing or using the Platform.
   Nothing contained in these Terms shall be interpreted as permitting any activity that is
   prohibited under applicable law.
   24.3 Consumer Rights
   Nothing in these Terms shall exclude, restrict, or limit any statutory rights, remedies, or
   protections available to Users under applicable Indian law, including any rights that cannot
   lawfully be waived or excluded by contract.
   24.4 Interpretation
   These Terms shall be interpreted in a manner that gives effect to the lawful intentions of the
   parties while remaining consistent with applicable Indian law.
   If any provision of these Terms is determined by a court or other competent authority to be
   invalid, illegal, or unenforceable, such determination shall not affect the validity or
   enforceability of the remaining provisions, which shall continue in full force and effect to the
   fullest extent permitted by law.
   24.5 Regulatory Compliance
   TriPrepNex reserves the right to modify, update, or implement changes to the Platform, its
   policies, or these Terms where reasonably necessary to comply with changes in applicable
   laws, regulations, judicial decisions, governmental directions, or regulatory requirements.
   24.6 Reservation of Rights
   Nothing contained in this Section shall limit TriPrepNex’s right to seek any interim, equitable,
   statutory, or other relief available under applicable law before any court, tribunal, or
   competent authority having jurisdiction.
3. Dispute Resolution
   25.1 Amicable Resolution
   TriPrepNex encourages Users to first contact its customer support team to resolve any
   concern, complaint, or dispute relating to the Platform, these Terms, subscriptions,
   payments, or any services provided by TriPrepNex.
   The parties shall make reasonable efforts to resolve the dispute amicably through good-faith
   discussions before initiating formal legal proceedings.
   25.2 Notice of Dispute
   A party intending to raise a dispute should provide written notice to the other party
   describing:

• the nature of the dispute;
• the relevant facts;
• the relief sought; and
• any supporting information reasonably necessary to understand the dispute.
  The receiving party shall be given a reasonable opportunity to review and respond to the
  notice.
  25.3 Good Faith Negotiation
  Following the notice of dispute, the parties agree to attempt to resolve the matter through
  good-faith negotiations within a reasonable period before commencing legal proceedings,
  unless immediate legal action is necessary to protect legal rights or comply with applicable
  law.
  25.4 Jurisdiction
  Subject to applicable law, any dispute that cannot be resolved amicably shall be submitted to
  the courts having competent jurisdiction at Pune, Maharashtra, India.
  Nothing in this Section shall prevent either party from seeking interim, injunctive, or other
  equitable relief from any court of competent jurisdiction where such relief is reasonably
  necessary.
  25.5 Limitation
  Nothing contained in this Section shall:
• prevent a User from exercising any non-waivable statutory rights available under
  applicable law;
• restrict the jurisdiction of any consumer forum, tribunal, regulatory authority, or
  court where jurisdiction is conferred by applicable law; or
• limit any remedy that cannot lawfully be excluded.
  25.6 Continued Performance
  Unless otherwise required by applicable law or directed by a competent authority, the
  parties shall continue to perform their respective obligations under these Terms during the
  pendency of any dispute, to the extent reasonably practicable.
  25.7 Costs
  Each party shall bear its own legal costs, expenses, and professional fees incurred in
  connection with any dispute, unless otherwise ordered by a court of competent jurisdiction
  or required under applicable law.
  25.8 Survival
  This Section shall survive the suspension, termination, expiration, or cancellation of a User’s
  Account, subscription, or these Terms to the extent necessary for the resolution of any
  dispute arising therefrom.

2. Severability
   26.1 Validity of Remaining Provisions
   If any provision of these Terms, or any part thereof, is held by a court, tribunal, or other
   competent authority to be invalid, illegal, unenforceable, or contrary to applicable law, such
   provision shall, to the extent of such invalidity or unenforceability, be deemed severed from
   these Terms.
   The remaining provisions of these Terms shall continue in full force and effect and shall not
   be affected, impaired, or invalidated by the severance of any such provision.
   26.2 Modification to Preserve Validity
   Where reasonably possible, any invalid, illegal, or unenforceable provision shall be
   interpreted, modified, or replaced to the minimum extent necessary to make it valid and
   enforceable while preserving, as closely as possible, the original intent and commercial
   purpose of the provision, subject to applicable law.
   26.3 Partial Invalidity
   If only a portion of any provision is determined to be invalid or unenforceable, the remaining
   portion of that provision shall continue to be valid and enforceable to the fullest extent
   permitted by applicable law, provided that the essential purpose of the provision is not
   defeated.
   26.4 No Effect on Other Rights
   The invalidity or unenforceability of any provision shall not affect the interpretation, validity,
   enforceability, or operation of any other provision of these Terms, nor shall it prejudice any
   rights or remedies available to TriPrepNex or the User under applicable law.
   26.5 Compliance with Applicable Law
   This Section shall be interpreted in a manner consistent with applicable law, and nothing
   contained herein shall be construed as enforcing any provision that is prohibited or rendered
   unenforceable by applicable law.
   26.6 Survival
   The provisions of this Section shall survive the suspension, termination, expiration, or
   cancellation of these Terms to the extent necessary to preserve the enforceability of the
   remaining provisions.
3. Changes to Terms
   27.1 Right to Modify
   TriPrepNex reserves the right to amend, modify, update, replace, or revise these Terms, in
   whole or in part, at any time where reasonably necessary, including to reflect changes in:

• applicable laws or regulations;
• business operations;
• Platform features or services;
• security requirements;
• technological developments; or
• other legitimate operational or commercial reasons.
  27.2 Effective Date
  Unless otherwise stated, any revised Terms shall become effective on the date specified in

  acknowledge and agree to be bound by the updated Terms.

   limited to provisions relating to intellectual property, payments, disclaimers, limitation of
   liability, indemnification, governing law, dispute resolution, and any accrued rights or
   obligations.

   By accessing or using the Platform, creating an Account, purchasing a subscription, or
   otherwise using any services provided by TriPrepNex, you acknowledge that you have read,
   understood, and agreed to be bound by these Terms & Conditions and all policies
   incorporated herein by reference.
